These Terms of Service (“Terms”) govern your access to and use of trinityglobalmarkets.com and the business inquiry, market-development, trade-connection, and trade-coordination services provided by Trinity Global Markets, LLC (“TGM,” “we,” “us,” or “our”).

By accessing the Website, submitting an inquiry, or using our services, you agree to these Terms. If you do not agree, do not use the Website or submit information to TGM.

1. Eligibility and Business Authority

The Website is intended primarily for business and professional users. By submitting an inquiry on behalf of a company or organization, you represent that you are authorized to provide the submitted information and communicate on its behalf.

You must provide accurate, current, and complete information. You may not impersonate another person or organization or submit misleading, fraudulent, unlawful, or unauthorized information.

2. TGM’s Role

TGM is a market-development and trade-connection company. Depending on the opportunity, we may conduct preliminary market research, review inquiries, identify potentially suitable business parties, coordinate introductions, and support communications.

Unless expressly agreed in a separate written agreement, TGM is not acting as:

  • A buyer or seller of the products discussed.
  • An agent, legal representative, fiduciary, partner, joint venturer, or employee of any party.
  • A customs broker, freight forwarder, carrier, insurer, lender, financial adviser, attorney, accountant, or regulatory authority.
  • A guarantor of product quality, payment, delivery, licensing, compliance, market access, or transaction performance.

No content or communication from TGM constitutes legal, tax, financial, customs, medical, or regulatory advice.

3. No Guarantee of Acceptance or Transaction

Submitting an inquiry does not guarantee:

  • Acceptance or representation by TGM.
  • Identification of a supplier, buyer, importer, distributor, or service provider.
  • A business introduction or supplier or buyer match.
  • Product availability, market access, financing, exclusivity, or regulatory approval.
  • Agreement on specifications, pricing, minimum-order quantities, payment, shipping, or other commercial terms.
  • Completion or success of any transaction.

TGM may accept, decline, suspend, or discontinue its review of an opportunity at its discretion, subject to any separate written agreement.

4. Inquiries and Submitted Information

You are responsible for ensuring that information and documents submitted to TGM are accurate, lawful, current, and not misleading.

You must not submit information that:

  • Infringes intellectual-property, privacy, confidentiality, or contractual rights.
  • Contains malware or other harmful material.
  • Relates to illegal, restricted, counterfeit, fraudulent, or misrepresented products or activities.
  • You are not authorized to disclose.

TGM may rely on information supplied by you or by third parties without independently verifying every statement or document.

5. Business Introductions and Third Parties

TGM may introduce or refer users to independent suppliers, buyers, importers, distributors, processors, logistics providers, consultants, or other service providers.

These parties are independent from TGM. Unless stated in a separate written agreement, TGM does not control and is not responsible for their:

  • Products, services, statements, certifications, licenses, or conduct.
  • Pricing, payment terms, production capacity, delivery, or performance.
  • Compliance with laws, regulations, contracts, or industry standards.
  • Financial condition, creditworthiness, reputation, or reliability.

An introduction by TGM is not an endorsement, certification, warranty, or guarantee.

6. Due Diligence and Compliance

Each party remains responsible for conducting its own legal, commercial, financial, technical, regulatory, and operational due diligence before entering into a transaction.

The relevant parties are responsible for confirming:

  • Product specifications, quality, safety, labeling, packaging, and certifications.
  • Supplier and buyer identity, authority, capability, and creditworthiness.
  • Import, export, customs, sanctions, licensing, registration, and tax requirements.
  • Pricing, currency, payment security, insurance, delivery terms, inspection, and acceptance.
  • Compliance with all applicable laws and regulations in the relevant jurisdictions.

Users should obtain independent professional advice where appropriate.

7. Quotations and Commercial Terms

Product availability, territory, pricing, quantities, lead times, minimum-order quantities, shipping arrangements, and other commercial terms are subject to confirmation by the relevant supplier, buyer, importer, and authorized service providers.

Website content, preliminary communications, market information, and potential quotations are not binding offers unless expressly stated in a written agreement signed by the authorized parties.

8. Fees and Separate Agreements

Accessing the Website or submitting an inquiry does not, by itself, create an obligation to pay TGM.

Any commission, consulting fee, market-development fee, referral fee, retainer, reimbursement, or other compensation owed to TGM must be established in a separate written agreement.

If a separate written agreement conflicts with these Terms, the separate agreement controls regarding the subject matter of that agreement.

9. Confidentiality

Do not submit trade secrets or highly confidential information through the general Website contact form.

Submission of information does not automatically create a confidential, fiduciary, agency, or exclusive relationship. Confidentiality obligations must be established in a separate written nondisclosure or services agreement.

TGM will handle personal information in accordance with its Privacy Policy.

10. Intellectual Property

Except for third-party materials, the Website’s original written content and design elements created by or for TGM are owned by TGM or used under applicable licenses. Third-party names, trademarks, artwork, photographs, fonts, graphics, and other materials remain the property of their respective owners and are subject to their applicable license terms.

You may view and use the Website for legitimate internal business purposes. You may not copy, reproduce, distribute, modify, publish, sell, scrape, or commercially exploit Website content without appropriate authorization.

11. Prohibited Uses

You may not use the Website or TGM’s services to:

To the maximum extent permitted by law, TGM and its members, managers, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunities, data, goodwill, or business interruption arising from:

  • Use of or inability to use the Website.

  • Reliance on Website content or third-party information.

  • Business introductions or communications.

  • Acts, omissions, products, services, or performance of independent third parties.

  • Failure to complete a proposed transaction.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless TGM and its members, managers, employees, contractors, and representatives from claims, losses, liabilities, damages, and reasonable expenses arising from your unlawful use of the Website, violation of these Terms, infringement of third-party rights, or inaccurate or unauthorized information submitted by you.

16. Third-Party Services and Shopify

The Website is hosted by Shopify and may contain links to independent third-party websites or services. TGM does not control and is not responsible for third-party content, policies, security, availability, or practices.

Shopify is a technology provider and is not a party to potential trade opportunities or transactions arranged through TGM.

17. Privacy

Our collection and use of personal information are governed by our Privacy Policy, available through the Website.

18. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Subject to applicable law and any separate written agreement, legal proceedings concerning these Terms will be brought in the appropriate state or federal courts serving Flagler County, Florida.

19. Changes to These Terms

We may update these Terms periodically. Changes become effective when posted on the Website with an updated revision date. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms.

20. Severability and Waiver

If any provision is found unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver of the right to enforce it later.
